1. Acceptance of Terms
By accessing or using the services provided by Screen Craft Solutions, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all clients, visitors, and users of our website and services.
2. Services
Screen Craft Solutions provides software development services including but not limited to IPTV platform development, Smart TV application development, custom software development, admin dashboards, ERP and CRM systems, and cargo and logistics software. The specific scope, deliverables, and timeline for each project will be defined in a separate project agreement or statement of work.
3. Client Responsibilities
As a client, you are responsible for providing accurate and complete information necessary for project execution, timely review and feedback on deliverables, ensuring you have the rights to any content or assets you provide, and designating a primary point of contact for project communication. Delays caused by late feedback or missing information may affect project timelines.
4. Payment Terms
Payment terms are specified in individual project agreements. Unless otherwise agreed, projects follow a milestone-based payment structure: an upfront deposit before work begins, followed by payments at agreed-upon milestones. All invoices are due within 15 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance.
5. Intellectual Property
Upon full payment, the client receives ownership of custom code and deliverables created specifically for the project. Screen Craft Solutions retains ownership of pre-existing tools, libraries, frameworks, and proprietary methodologies. We reserve the right to use general knowledge, skills, and experience gained during the project. Third-party software and licenses remain subject to their respective terms.
6. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the engagement. This includes business strategies, technical specifications, user data, financial information, and trade secrets. Confidentiality obligations survive the termination of the agreement for a period of two years. Information that becomes publicly available through no fault of the receiving party is exempt from these obligations.
7. Limitation of Liability
Screen Craft Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability for any claim shall not exceed the total amount paid by the client for the specific project in question. We are not responsible for losses resulting from third-party service failures, force majeure events, or client-provided content.
8. Termination
Either party may terminate a project agreement with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Screen Craft Solutions will deliver all completed work and materials upon full payment. If the client terminates without cause, any upfront deposits or advance payments are non-refundable.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Tunisia. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation first, and if unresolved, submitted to the competent courts of Sfax, Tunisia.
